Overview
This course provides a comprehensive grounding in South African corporate law, with a strong focus on the Companies Act 71 of 2008 and the residual common law principles that continue to shape corporate regulation. Students explore the formation, structure, and legal capacity of corporate entities, the roles of boards and shareholders, and the oversight responsibilities of regulatory agencies. Key areas such as shares and class rights, corporate finance, market abuse regulation, takeovers, mergers, insolvency, and liquidation are examined in detail. The course equips students to analyse complex organisational scenarios and offer well-reasoned legal advice within corporate governance contexts. A quality-assured certificate from the University of the Witwatersrand is issued on successful completion.
