Overview
This course provides an in-depth analysis of contemporary South African company law and its impact on corporate practice. Students examine remedies, directors' duties, fundamental transactions, take-overs, business rescue, and appraisal remedies. Special focus is placed on the Companies Amendment Act (2023) and Second Amendment Act (2023), ensuring participants engage with the latest legal developments. The course critically evaluates the Companies Act 71 of 2008 in its socio-economic context, equipping participants to analyse, interpret, and apply company law principles in practice.
