This course delivers a critical understanding of the foundational concepts underpinning South African company law, focusing on the Companies Act of 2008 and its practical application. Topics include corporate personality, shareholder protections, directors' duties, financial regulations, securities, and corporate governance principles. You'll also explore advanced topics such as piercing the corporate veil, illicit financial flows, the business judgment rule, and directors' liability. Through analysis of case law and legal frameworks, you will learn to solve complex company law problems with practical and theoretically sound approaches. Ideal for corporate lawyers, company secretaries, and legal advisors, the course offers a balance of critical analysis and practical application.
